Terms of Service

1. Introduction

Welcome to ZeroDay Strategies, a Colorado-based business consultancy. By using our website or engaging with our services, you agree to be bound by these Terms of Service. These terms govern all client interactions, contracts, and the use of our online platform. Please review these terms carefully before engaging with our services. If you do not agree to these terms, you must discontinue using our services and website.

2. Services

ZeroDay Strategies offers business consulting services, including but not limited to Lead Generation as a Service, Business Coaching, Systems Consulting & Engineering, and Sales Coaching. The scope of each service will be clearly outlined in the client agreement. While we strive to meet all client goals, results may vary, and ZeroDay Strategies does not guarantee specific outcomes. Services are provided on an as-is basis and any modifications or customizations will be discussed and agreed upon before implementation.

3. Payments & Billing

All services provided by ZeroDay Strategies require upfront payment or as agreed upon in your contract. We accept various forms of payment, including credit cards and ACH transfers. Monthly services are billed at the agreed-upon rates, typically charged on the first of each month. For custom projects, a separate payment schedule will be agreed upon. Invoices are due upon receipt, and failure to make timely payments may result in service suspension or termination. Any additional costs, such as third-party tools, will be communicated in advance.

4. Cancellations & Refunds

Clients may cancel services by providing 30 days' written notice, after which the billing for services will cease. Refunds for prepaid services will be handled on a case-by-case basis, depending on the nature of the service provided and the amount of work completed. No refunds will be given for work already rendered. ZeroDay Strategies reserves the right to terminate service agreements if terms are breached, with any outstanding payments still due from the client.

5. Intellectual Property

All content, strategies, documentation, and other materials provided by ZeroDay Strategies remain our intellectual property. Clients are granted a limited license to use these materials for their business needs only. This license does not extend to the reproduction, distribution, or resale of our materials unless otherwise agreed upon. Any content provided by the client, such as proprietary business information or logos, remains their intellectual property.

6. Confidentiality

ZeroDay Strategies understands the importance of confidentiality and will not disclose any client information, business practices, or proprietary data to third parties without prior written consent. Both parties agree to keep all shared materials, data, and communications confidential, and only use them for the purpose of providing services as outlined in the contract.

7. Limitation of Liability

While we work to provide the best services possible, ZeroDay Strategies is not liable for any indirect, incidental, or consequential damages, including loss of profits, business interruption, or data loss. In no event will our total liability exceed the amount paid by the client for the services in question. This limitation applies to all claims, whether based on contract, tort, or any other legal theory.

8. Governing Law

These terms are governed by and construed in accordance with the laws of the state of Colorado. Any disputes arising from these terms or the services provided by ZeroDay Strategies will be resolved through mediation or arbitration in the state of Colorado, unless otherwise agreed upon by both parties.
